Diferentes formas de crear un negocio en España
El pasado 22/05/18 Elisabeth Batista, Directora del Departamento Internacional de AEQUO ADVOCATS, participó en THE BUSINESS EVENT, donde explicó las diferentes formas de establecer un negocio en España y los aspectos legales a tener en cuenta.
- No sólo existe la posibilidad de constituir una sociedad en sus diferentes formas jurídicas, sino que se pueden crear joint-ventures mediante diferentes tipos de asociación (UTEs, Grupos de Interés Económico, franquicias, acuerdos de agencia o de distribución).
- Los diferentes pasos a seguir para constituir una sociedad.
- El órgano de administración de una sociedad puede organizarse de diferentes formas y el incumplimiento de sus obligaciones legales puede acarrear una derivación de responsabilidad personal contra ellos.
- Diferencias esenciales existentes entre una SA y una SL y entre una sucursal y una filial y establecimiento permanente.

Different ways to establish a business in Spain
Last 22/05/18 Elisabeth Batista, Director of the International Department of AEQUO ADVOCATS, participated at THE BUSINESS EVENT, where she explained the different ways to establish a business in Spain and the legal issues to take into consideration.
Some of the main points that Elisabeth highlighted are the following ones:- Apart from creating a company with its own legal personality, there are other ways to establish a business, such as the creation of a joint-venture though the association of businesses (Temporary Business Association, Economic Interest Groupings, Franchising, Agency or Distribution Agreements).
- The different steps to be taken for establishing a company.
- The governing body of a company can be organized in different ways (sole director, joint directors, board of directors, joint and severally liable directors) and the breach of their legal obligations could entail a derivation of liability against them.
- The main differences between a Corporation and LLC, and between a branch, subsidiary and permanent establishment.
